Solar Industries India, the Nagpur-based defence and industrial explosives leader, has announced its largest overseas expansion β€” an all-cash deal to acquire South Africa's Omnia Holdings for about $1.355 billion (Rs 12,951 crore). The transaction will be executed through its wholly-owned step-down subsidiary Solar SA Investments Proprietary Limited at ZAR 134.5 per share and was announced on 14 September 2026, subject to regulatory and shareholder approvals.

The deal headlines coincide with a staggering market run. According to BSE data cited by Mint, Solar Industries shares have surged 3,381% in the last 10 years, turning a Rs 1 lakh investment a decade ago into nearly Rs 35 lakh today. As of 12 September 2026, the stock traded around Rs 22,290-22,307 with a market cap of about Rs 2.01 lakh crore, up nearly 55% in the past year alone.

Omnia, headquartered in Johannesburg and founded in 1953, operates across mining explosives and agriculture. It has a physical presence in 23 countries, serves customers in 40+ countries through 70+ distribution centres and employs over 3,500 people. For FY26 ended 31 March 2026, it reported revenue of $1.41 billion and remained net cash positive. The business includes the BME mining unit for electronic detonation systems and bulk explosives, plus Nutriology and Agribio platforms that give Solar a new entry into crop nutrition and biological solutions.

Completion is expected in early to mid-2027, after which Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets. Solar Group MD and CEO Manish Nuwal said the deal is a milestone towards becoming a global leader in explosives and blasting solutions, with benefits to become increasingly visible from FY2028. The announcement also follows a strong Q1 FY27 for Solar β€” net profit up 93% year-on-year to Rs 653 crore on revenue of Rs 3,670 crore.
